Welcome to Uicly Academy (“Uicly”, the “Platform”, “we”, “us”). By accessing or using uicly.com and related services (the “Services”), you (“you”, the “User”) agree to these Terms & Conditions (the “Terms”). If you do not agree, do not use the Platform.

1) Definitions

  • User: any person or entity with a Uicly account.
  • Student/Learner: a User who purchases or accesses Courses.
  • Instructor/Creator: a User who publishes, sells, or delivers Courses.
  • Course: digital educational content (e.g., videos, PDFs, templates, lives, communities, memberships).
  • Marketplace: the Platform infrastructure that enables Instructors to offer Courses to Students.

2) About Uicly; Role of Intermediary

Uicly operates as an online marketplace and technology provider. Except for Uicly-branded content, Courses are produced by independent Instructors. Uicly does not warrant learning outcomes, professional qualifications, or compliance of Instructor content.

3) Eligibility & Account

You must be 18 years of age or older to use the Services unless you meet the minor-use conditions in Section 3A. You agree to provide accurate information, keep your login secure, and are responsible for all activity under your account. We may suspend or terminate accounts for suspected fraud, IP violations, unsafe conduct, or breach of these Terms.

3A) Minors; Parental/Guardian Consent

  • Definition. A “Minor” is a natural person under 18 (or the age of majority in their residence).
  • Children under 13. The Services are not directed to children under 13. Users under 13 may only access Courses through a parent/guardian account where the parent/guardian is the account holder and supervises all use.
  • Ages 13–17. A Minor aged 13 to 17 may use the Services only with prior, express consent of their parent or legal guardian, who must (i) review and accept these Terms, (ii) consent to the Minor’s use, (iii) remain responsible for the Minor’s activities, purchases, and compliance, and (iv) supervise the Minor’s learning and interactions on the Platform.
  • Verification. Uicly may request reasonable evidence of consent (e.g., signed form or email confirmation) and may suspend or terminate access if consent cannot be verified.
  • Payments. Any purchases by a Minor must be authorized by the parent/guardian, who is the responsible payor.
  • Data protection. Processing of a Minor’s personal data follows our Privacy Policy and applicable law. Parents/guardians may exercise privacy rights on behalf of the Minor via [[privacy/support email]].

4) License to Access Courses

Upon purchase, Students receive a limited, personal, non-transferable, non-exclusive, revocable license to view the Course via the Platform while the Course remains available. You may not download, copy, distribute, sell, share, screen-record, or make derivative works unless expressly permitted within the Platform.

5) Prices, Payments & Billing

  • Prices are set by the Instructor or by Uicly for Uicly-owned Courses.
  • Payments are processed by [[Stripe/PayPal/other]]; their fees and policies may apply.
  • Prices may display in [[currency]] and may include/exclude taxes depending on jurisdiction.
  • Where legally required (e.g., ITBIS in the Dominican Republic), taxes will be displayed and collected at checkout.

6) Refunds

Default policy (customize if needed):

  • Refunds are available within 7 calendar days of purchase if no more than 20% of the Course has been consumed and no downloadable materials were accessed.
  • No refunds for: live events already delivered, subscriptions/memberships already used, downloadable assets already accessed, bundles where any component was consumed, suspected abuse or fraud.

7) Subscriptions/Memberships (if applicable)

Subscriptions renew automatically until canceled in your account before the renewal date. Fees already charged are non-refundable except where required by law or under our refund policy.

8) Instructor Terms (Summary)

  • You must own or have sufficient rights to all content you upload. No unlawful, defamatory, or infringing materials.
  • You grant Uicly a worldwide, non-exclusive, royalty-free license to host, transcode, reproduce, publicly display, and promote your Courses on and in connection with the Platform.
  • Payouts: Revenues are paid minus platform commission and processor fees, on a [[weekly/bi-weekly/monthly]] schedule, subject to [[X days]] delay for chargebacks/fraud checks and after successful KYC/AML verification. Minimum payout: [[amount + currency]].
  • Uicly may withhold, offset, or claw back amounts in case of chargebacks, suspected fraud, DMCA claims, or policy breaches.
  • You must comply with data protection, advertising standards, and consumer protection laws applicable to your offers.

We recommend publishing a separate Instructor Policy / Marketplace Addendum with detailed rules (commission, payout timetables, content standards, prohibited categories).

9) Reviews & Conduct

Reviews must be honest and based on real experience. Prohibited conduct includes harassment, hate speech, spam, manipulation of reviews, scraping, reverse engineering, malware distribution, sharing accounts, or any activity that harms the Platform or other Users.

10) Intellectual Property

  • The Platform (software, trademarks, logos, UI, and content created by Uicly) is owned by Uicly or its licensors.
  • Courses remain the property of their respective Instructors. You obtain no rights beyond the limited viewing license.
  • DMCA/Notice-and-Takedown: If you believe content infringes your rights, email [[legal/DMCA email]] with (i) identification of the work, (ii) the allegedly infringing URL, (iii) your contact information, (iv) a good-faith statement, and (v) a statement under penalty of perjury that you are authorized to act. We may remove content and notify the Instructor, and may disable repeat infringers.

11) Third-Party Services

We integrate third-party services (e.g., video hosting, payment processors, analytics, communications). Their terms and privacy policies apply in addition to these Terms.

12) Privacy & Data Protection

Your use of the Services is governed by our Privacy Policy: [[Privacy Policy URL]].
Where applicable, we act as controller for Platform account data and as processor for Instructor-Student interactions as described in the Privacy Policy. Do not upload sensitive personal data without lawful basis and explicit consent where required.

13) Taxes

Students are responsible for applicable taxes on purchases. Instructors are responsible for taxes on their earnings. Uicly may collect, withhold, and remit taxes as required by law.

14) Service Availability; Maintenance

We strive for high availability but do not guarantee uninterrupted service. Features may change; maintenance or outages may occur. We are not liable for data loss except to the extent caused by our gross negligence or willful misconduct. Maintain your own backups.

15) Warranties Disclaimer

To the maximum extent permitted by law, the Services and Courses are provided “as is” and “as available”, without warranties of any kind—express, implied, or statutory—including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Learning results, job placement, or earnings are not guaranteed. Parents/guardians acknowledge that outcomes for Minors depend on individual effort and supervision.

16) Limitation of Liability

To the fullest extent permitted by law, Uicly and its affiliates, officers, employees, and agents shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or business interruption. Our aggregate liability for any claims relating to the Services shall not exceed the greater of (a) the amounts you paid to Uicly in the three (3) months prior to the event giving rise to the claim, or (b) US$100.

17) Indemnification

You agree to defend, indemnify, and hold harmless Uicly and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your: (i) use of the Services, (ii) Courses you create or sell, (iii) violation of these Terms or any law, or (iv) infringement of any third-party rights.

18) Termination

We may suspend or terminate access immediately for any breach, suspected fraud, or risk to Users or the Platform. You may stop using the Services at any time. Sections that by their nature should survive termination (e.g., IP, payments due, indemnities, limitations of liability) survive termination.

19) Changes to the Terms

We may update these Terms from time to time. We will post the updated version with the “Last updated” date above and, for material changes, may provide in-product or email notice. Your continued use constitutes acceptance of the updated Terms.

20) Governing Law & Dispute Resolution

These Terms are governed by the laws of the Dominican Republic.
Venue/Jurisdiction: Courts of [[Santo Domingo / Distrito Nacional]], unless mandatory consumer law requires otherwise.

Optional (alternative): Arbitration & Class-Action Waiver
Any dispute shall be resolved by final, binding arbitration administered by [[institution]] under its rules. Class or representative actions are waived. You may opt-out within 30 days of account creation by emailing [[legal email]].

21) Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, internet outages, acts of government, or third-party failures.

22) Entire Agreement; Severability; Assignment

These Terms, together with the Privacy Policy and any supplemental policies, constitute the entire agreement between you and Uicly regarding the Services. If any provision is held invalid, the remainder remains in effect. You may not assign your rights without our consent; we may assign these Terms in connection with a merger, acquisition, or asset transfer.
